Terms of Service

These Terms govern your access to and use of the HeySerge platform operated by Superstellar Projects. They form a binding agreement between you and us. We have written them to be clear and fair. If you are accepting on behalf of an organization, “you” refers to that organization. If anything is unclear, contact us at legal@heyserge.ai.

Agreement to these terms
- By accessing or using the HeySerge platform (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting these Terms on behalf of an organization (“Customer”), you represent and warrant that you have the authority to bind that organization. If you do not agree, do not use the Service.
- These Terms constitute a binding legal agreement between you (and, where applicable, the Customer you represent) and Superstellar Projects (“we”, “us”, “our”, “HeySerge”).
- These Terms apply to all users, including workspace administrators and invited team members. Additional terms may apply to specific features or services and will be presented to you before use.
- We may update these Terms from time to time. See Section 17 (Modifications to these Terms) for our change process and your rights when we make changes.

Definitions
- “Service” — The HeySerge platform, including the web application, APIs, AI-powered features, and all associated documentation.
- “Customer” — The organization that subscribes to the Service through a workspace administrator.
- “User” — Any individual who accesses the Service through a Customer workspace, including administrators and invited members.
- “Workspace” — A Customer’s isolated environment within the Service, containing that Customer’s data, integrations, goals, and team members.
- “Customer Data” — All data provided by Customer or its Users to the Service, including goals, workspace configuration, classification corrections, and data accessed from Customer’s connected third-party tools (Linear, Jira, Slack).
- “AI Output” — Content generated by the Service’s AI features, including ticket classifications, alignment scores, briefings, and conversational responses.
- “Subscription” — Customer’s paid plan entitling access to the Service for a specified billing period.

The service
- HeySerge is an AI-powered Execution Intelligence platform that analyzes alignment between a team’s actual work (as represented in Linear and Jira tickets) and stated quarterly goals. The Service includes: AI-powered ticket classification, alignment dashboards and heatmaps, weekly briefings via Slack and email, goal management, classification correction, and conversational AI responses.
- The Service uses artificial intelligence (Anthropic Claude) to classify tickets, generate briefings, and provide conversational responses. AI Output is advisory and informational. It does not constitute professional, legal, employment, or management advice. See Section 7 (AI-powered features) for important details.
- The Service requires OAuth connections to third-party tools (Linear, Jira, Slack). By authorizing these connections, you grant us permission to read relevant data from those tools as described in our Privacy Policy. We operate in read-only mode and do not modify data in your connected tools.
- We continuously improve the Service. We may add, modify, or discontinue features with reasonable notice. We will not remove core functionality that is material to your Subscription during your current paid billing period without your consent.

Account registration and workspaces
- You must authenticate via a supported identity provider (currently Google via Auth0) to use the Service. You must provide accurate and complete information during registration.
- You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.
- The person who creates a Workspace is the workspace administrator and is responsible for: managing team access and role assignments, authorizing integration connections (Linear, Jira, Slack), entering or approving quarterly goals, and ensuring that their organization’s use of the Service complies with applicable laws and internal policies.
- You are responsible for maintaining the security of your account credentials and for all activity that occurs under your Workspace. You must notify us promptly at security@heyserge.ai if you become aware of any unauthorized access.
- If you are connecting the Service to your organization’s Linear, Jira, or Slack workspace, you represent that you have the authority to authorize that connection and that doing so does not violate any agreement between you and the third-party service provider.

Subscription plans, fees, and free tier
- Free tier — The free tier provides a one-time alignment audit (analysis of your last 90 days of tickets against stated goals). No credit card is required. The free tier may be modified or discontinued with 30 days’ notice.
- Paid plans — Paid Subscriptions are billed monthly in advance. Pricing is published on our website. All fees are stated exclusive of applicable taxes. You are responsible for all taxes, duties, and levies applicable to your Subscription, other than taxes on our net income.
- Auto-renewal — Paid Subscriptions automatically renew at the end of each billing period for successive periods of the same duration, at the then-current price, unless cancelled before the renewal date. You authorize us to charge your designated payment method for each renewal period.
- Price changes — We will notify you at least 30 days before any price increase takes effect. Price increases will not apply during your current prepaid billing period. If you do not agree to a price increase, you may cancel your Subscription before the new price takes effect.
- Cancellation — You may cancel your Subscription at any time through the Settings page or by contacting support@heyserge.ai. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. We do not provide prorated refunds for partial billing periods unless required by applicable law.
- Refunds — If you are unsatisfied with the Service within the first 14 days of your initial paid Subscription, contact support@heyserge.ai for a full refund. After this period, refunds are handled on a case-by-case basis.
- Late payment — If payment fails, we will notify you and provide a 14-day grace period. If payment is not received within the grace period, we may suspend your access to paid features until the outstanding amount is settled. We will not delete your data during a payment dispute.

Third-party integrations
- The Service depends on third-party APIs (Linear, Jira, Slack, and Anthropic) to provide its core functionality. These third-party services are not operated by us and are subject to their own terms of service and privacy policies.
- You are responsible for maintaining valid accounts and appropriate permissions with each third-party service you connect. If a third-party service modifies its API, changes its terms, or becomes unavailable, certain Service features may be temporarily or permanently affected. We will use commercially reasonable efforts to adapt to such changes.
- We are not responsible for the accuracy, availability, or security of third-party services. Any data you make accessible through third-party integrations is processed in accordance with our Privacy Policy.
- You may disconnect any integration at any time through the Settings page. Upon disconnection, we will stop accessing new data from that service. Previously synced data will be retained in your Workspace unless you request its deletion.

AI-powered features
- The Service uses artificial intelligence (currently Anthropic Claude) to classify tickets against your goals, generate alignment briefings, and provide conversational responses. You acknowledge that AI technology has inherent limitations.
- AI Output is provided for informational and analytical purposes only. It represents automated analysis, not professional advice. You are responsible for reviewing, validating, and making decisions based on AI Output. The Service provides correction mechanisms so you can override any classification you believe is inaccurate.
- AI classifications may contain errors or inaccuracies. We do not guarantee the accuracy, completeness, or reliability of any AI Output. Alignment scores, trends, and insights should be interpreted as indicators, not definitive measurements.
- The Service is designed as a strategic alignment intelligence tool for organizational leadership. It is not designed, intended, or authorized for use as an employee performance evaluation tool, or as the sole or primary basis for employment decisions including hiring, firing, promotion, demotion, discipline, or compensation. You agree not to use AI Output for such purposes without independent human judgment and additional information.
- Before any Customer Data reaches the AI model, we apply automated personally identifiable information (PII) redaction as described in our Privacy Policy. Anthropic does not retain data sent via their commercial API and does not use it for model training.
- We may change the underlying AI model or provider if we determine that a different model provides better results for the Service. We will notify you of material changes to AI processing.

Your data
- Customer Data ownership — You retain all right, title, and interest in your Customer Data. We do not claim ownership of any Customer Data, including goals, workspace configuration, classification corrections, or data accessed from your connected third-party tools.
- License to process — You grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit Customer Data solely to the extent necessary to provide, maintain, and improve the Service, and as otherwise described in our Privacy Policy.
- AI Output license — AI Output generated by the Service (classifications, briefings, alignment scores, conversational responses) is provided to you as part of the Service. You may use AI Output freely within your organization for any lawful business purpose.
- Data processing — We process Customer Data as described in our Privacy Policy. Where we act as a data processor on behalf of your organization under applicable data protection law (including GDPR and Swiss nFADP), the terms of our Data Processing Agreement apply. A DPA is available upon request at legal@heyserge.ai.
- Data portability — You may export your Customer Data (goals, classification results, alignment scores, briefing history) at any time through the Service or by contacting support@heyserge.ai. We will provide your data in a structured, commonly used, machine-readable format (JSON).
- Aggregated data — We may create anonymized, aggregated, de-identified data derived from Customer Data that cannot reasonably be used to identify you or any individual (“Aggregated Data”). Aggregated Data is not Customer Data. We may use Aggregated Data for benchmarking, product improvement, and research purposes.

Intellectual property
- HeySerge retains all right, title, and interest in and to the Service, including all software, algorithms, designs, documentation, trademarks, and other intellectual property. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein.
- License to use the Service — Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during the Subscription term, solely for your internal business purposes.
- Restrictions — You may not: reverse engineer, decompile, or disassemble the Service; copy, modify, or create derivative works of the Service; sublicense, sell, rent, or lease the Service to any third party; use the Service to build a competing product or service; or remove or alter any proprietary notices on the Service.
- Feedback — If you provide suggestions, ideas, or feedback about the Service (“Feedback”), you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, incorporate, and commercialize Feedback without restriction or compensation. You are not obligated to provide Feedback.

Acceptable use
- You agree to use the Service only for its intended purpose: analyzing alignment between work and goals within your organization, and related organizational intelligence activities.
- You may not: (a) reverse engineer, decompile, or attempt to extract the source code of the Service; (b) attempt to access, query, or tamper with other Workspaces’ data; (c) use the Service to harm, harass, stalk, or discriminate against any individual; (d) resell, sublicense, or provide access to the Service to third parties without our prior written consent; (e) use automated scripts, bots, or scrapers to access the Service except through our documented APIs; (f) deliberately circumvent rate limits, security measures, or access controls; (g) introduce malware, viruses, or other harmful code; (h) use the Service in violation of any applicable law or regulation.
- You may not submit goals or other content that is illegal, harmful, defamatory, obscene, or that violates third-party intellectual property or privacy rights.
- We reserve the right to suspend or terminate accounts that violate these Terms. Where practicable, we will provide notice and an opportunity to cure before suspension, except where we reasonably determine that immediate action is necessary to prevent harm to the Service, other users, or third parties.

Confidentiality
- “Confidential Information” means any non-public information disclosed by one party (“Discloser”) to the other (“Recipient”), whether orally, in writing, or electronically, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. Customer Data is Confidential Information of Customer.
- Exclusions — Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Recipient; (b) was lawfully in the Recipient’s possession before disclosure; (c) is independently developed by the Recipient without use of the Discloser’s Confidential Information; or (d) is lawfully received from a third party without restriction.
- Obligations — The Recipient will: (a) use Confidential Information solely to perform its obligations or exercise its rights under these Terms; (b) protect Confidential Information with at least the same degree of care it uses for its own confidential information, but no less than reasonable care; and (c) limit disclosure to its employees, contractors, and agents who need to know and are bound by confidentiality obligations at least as protective as these.
- Compelled disclosure — If the Recipient is compelled by law, regulation, or court order to disclose Confidential Information, it will provide the Discloser with prompt written notice (to the extent legally permitted) so the Discloser may seek a protective order or other remedy.
- Duration — Confidentiality obligations survive termination of these Terms for three (3) years, except for trade secrets, which remain protected for as long as they qualify as trade secrets under applicable law.

Service availability and support
- We use commercially reasonable efforts to maintain high availability of the Service but do not guarantee uninterrupted, error-free, or continuous access. The Service may be temporarily unavailable for scheduled maintenance, emergency maintenance, infrastructure updates, or due to factors beyond our reasonable control.
- Scheduled maintenance — We will provide advance notice of planned maintenance windows when practicable, via in-app notification or status page. We will endeavor to schedule maintenance during low-usage hours.
- Support — We provide support via email at support@heyserge.ai. We aim to acknowledge support requests within one (1) business day. Response times and resolution commitments may vary by Subscription plan.
- If the Service experiences material downtime exceeding 24 consecutive hours (excluding scheduled maintenance), paid Subscribers may request a service credit by contacting support@heyserge.ai within 14 days of the incident. Service credits will be applied to future billing periods and will not exceed one month’s Subscription fees per incident.

Warranty disclaimer
- THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
- Without limiting the foregoing, we do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) AI Output will be accurate, complete, reliable, or free from bias; (c) the Service will meet your specific requirements; or (d) any defects will be corrected.
- You acknowledge that AI-powered classification and briefing generation involve probabilistic outputs and may produce inaccurate or incomplete results. You are responsible for independently evaluating and verifying all AI Output before relying on it for business decisions.
- NOTHING IN THESE TERMS EXCLUDES OR LIMITS WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. In particular, if you are located in the European Union, Switzerland, or other jurisdictions with mandatory consumer protection laws, your statutory warranty rights are not affected by this section. To the extent mandatory statutory warranties apply, our liability under such warranties is limited to the maximum extent permitted by law.

Limitation of liability
- EXCLUSION OF INDIRECT DAMAGES — TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, GOODWILL, DATA (EXCEPT AS GOVERNED BY OUR DATA PROTECTION OBLIGATIONS), BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- GENERAL LIABILITY CAP — EXCEPT FOR THE EXCLUSIONS LISTED BELOW, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER TO HEYSERGE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR FREE-TIER USERS, OUR TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100).
- ELEVATED CAP — For claims arising from a party’s breach of its confidentiality obligations (Section 11) or data protection obligations, the liable party’s total aggregate liability will not exceed two times (2x) the fees paid or payable in the twelve (12) months immediately preceding the claim.
- EXCLUSIONS FROM CAPS — The limitations and exclusions in this section do not apply to: (a) liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence; (b) liability for fraud or fraudulent misrepresentation; (c) liability for willful misconduct or gross negligence (including as required by Swiss Code of Obligations Art. 100); (d) Customer’s obligation to pay fees due under these Terms; (e) either party’s indemnification obligations for intellectual property infringement under Section 15; or (f) any liability arising from a party’s breach of applicable data protection laws (GDPR, Swiss nFADP, or US state privacy laws).
- JURISDICTIONAL SAVINGS CLAUSE — Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the laws of your jurisdiction. If any limitation in this section is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining limitations will continue to apply in full.

Indemnification
- Our indemnification of you — We will defend, indemnify, and hold harmless Customer and its officers, directors, and employees from and against any third-party claim alleging that Customer’s authorized use of the Service infringes any patent, copyright, trademark, or trade secret of a third party (“IP Claim”), and will pay any damages finally awarded or settlement amounts agreed, provided that Customer: (a) gives us prompt written notice of the IP Claim; (b) grants us sole control over the defense and settlement (provided we do not settle in a manner that imposes liability on Customer without consent); and (c) provides reasonable cooperation at our expense.
- Our remedies for IP Claims — If the Service becomes, or in our reasonable opinion is likely to become, the subject of an IP Claim, we may at our option and expense: (a) procure the right for you to continue using the Service; (b) modify the Service to make it non-infringing without materially reducing functionality; or (c) if neither (a) nor (b) is commercially practicable, terminate your Subscription and refund any prepaid fees for the unused portion of the current billing period.
- Exclusions — We have no indemnification obligation for claims arising from: (a) modifications to the Service made by you or a third party; (b) use of the Service in combination with third-party products or services not provided by us; (c) use of the Service in violation of these Terms; or (d) Customer Data.
- Your indemnification of us — Customer will defend, indemnify, and hold harmless HeySerge and its officers, directors, and employees from and against any third-party claim arising from: (a) Customer’s use of the Service in violation of these Terms or applicable law; (b) Customer Data, including claims that Customer Data infringes third-party rights; or (c) Customer’s failure to obtain required authorizations from its employees or third-party service providers for the data processed through the Service.

Term, renewal, and cancellation
- Term — These Terms are effective from the date you first access the Service and continue until terminated by either party as described in this section.
- Free tier — Free-tier access continues indefinitely until terminated by either party. We may discontinue the free tier with 30 days’ written notice.
- Paid Subscriptions — Paid Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through the Settings page or by emailing support@heyserge.ai. Cancellation takes effect at the end of the current billing period.
- Termination for cause — Either party may terminate these Terms if the other party materially breaches these Terms and fails to cure the breach within thirty (30) days of receiving written notice specifying the breach. A material breach includes, but is not limited to: non-payment of fees (after the grace period described in Section 5), violation of the acceptable use policy, or breach of confidentiality obligations.
- Termination for convenience by us — We may terminate your Subscription for convenience with sixty (60) days’ written notice. In this case, we will refund any prepaid fees for the unused portion of the current billing period.
- Suspension — We may suspend your access to the Service immediately if: (a) we reasonably believe your use poses a security risk to the Service or other users; (b) your use may subject us or third parties to liability; (c) your account is more than 14 days overdue on payment; or (d) your use violates applicable law. We will provide notice as soon as practicable and will restore access promptly once the issue is resolved.
- Effects of termination — Upon termination: (a) your right to use the Service ceases immediately (or at the end of the current billing period for cancellation); (b) you may request export of your Customer Data for thirty (30) days following termination; (c) after the 30-day export period, we will permanently delete your Customer Data in accordance with our Privacy Policy; (d) provisions that by their nature should survive termination will survive, including Sections 8 (Your data, regarding data ownership), 9 (IP), 11 (Confidentiality), 13 (Warranty disclaimer), 14 (Limitation of liability), 15 (Indemnification), 18 (Governing law), and 19 (General provisions).

Modifications to these terms
- We may modify these Terms from time to time to reflect changes in our Service, applicable laws, or for other operational reasons.
- Material changes — We will notify you at least thirty (30) days before material changes take effect, via email to your account email address and in-app notification. Material changes include modifications to: fees or billing terms, limitation of liability, warranty terms, your data rights, or any provision that materially affects your rights or obligations.
- Non-material changes — Minor clarifications, formatting updates, or changes that do not materially affect your rights will be posted on this page with an updated effective date.
- Your options — Your continued use of the Service after the updated Terms take effect constitutes acceptance. If you do not agree with a material change, you may terminate your Subscription before the change takes effect, and we will refund any prepaid fees for the unused portion of the current billing period. For paid Subscribers, material changes to pricing, liability, or data rights will not take effect during your current billing period if you notify us of your objection within 30 days of our notice.

Governing law and dispute resolution
- These Terms are governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
- Good faith negotiation — Before initiating formal proceedings, the parties will attempt in good faith to resolve any dispute arising from these Terms through direct negotiation for a period of thirty (30) days from the date of written notice of the dispute.
- Jurisdiction — If a dispute cannot be resolved through negotiation, the ordinary courts at the registered seat of Superstellar Projects in Switzerland will have exclusive jurisdiction, subject to the carve-outs below.
- EU and UK consumer carve-out — If you are a consumer within the meaning of EU or UK consumer protection law, nothing in these Terms deprives you of any mandatory consumer protections under the laws of your country of residence, or prevents you from bringing proceedings in the courts of your country of residence. If any provision of these Terms conflicts with mandatory consumer protection law, the mandatory law prevails to the extent of the conflict.
- Data protection carve-out — Nothing in these Terms prevents a data subject from lodging a complaint with a data protection supervisory authority under GDPR, Swiss nFADP, or other applicable data protection law, or from bringing data protection claims in the courts of their habitual residence.
- Injunctive relief — Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm, without first engaging in the negotiation process above.

General provisions
- Entire agreement — These Terms, together with our Privacy Policy and, where applicable, our Data Processing Agreement, constitute the entire agreement between you and us regarding the Service, and supersede all prior or contemporaneous agreements, proposals, or representations, whether written or oral.
- Severability — If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.
- Assignment — You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms. Any attempted assignment in violation of this section is void.
- Waiver — The failure of either party to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. A waiver is effective only if made in writing and signed by the waiving party.
- Force majeure — Neither party will be liable for any delay or failure to perform its obligations (other than payment obligations) due to causes beyond its reasonable control, including but not limited to: natural disasters, pandemics, war, terrorism, government actions, labor disputes, internet or telecommunications failures, denial-of-service attacks, or third-party service provider outages. The affected party must provide prompt notice and use commercially reasonable efforts to mitigate the impact.
- Notices — All notices under these Terms must be in writing. Notices to you will be sent to the email address associated with your account. Notices to us must be sent to legal@heyserge.ai. Notices are deemed received when sent (for email, when successfully delivered to the recipient’s mail server).
- No third-party beneficiaries — These Terms are for the sole benefit of the parties and do not create any third-party beneficiary rights, except that each party’s indemnified persons are intended third-party beneficiaries of the indemnification provisions in Section 15.
- Export compliance — You will not use or access the Service in violation of any applicable export control or trade sanctions laws, including those of Switzerland, the European Union, and the United States.
- Independent contractors — The relationship between you and HeySerge is that of independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between the parties.
